1. Acceptance of Terms

By accessing airebatemanager.com or submitting a participation form, you agree to be bound by these Terms & Conditions and our Privacy Policy. These terms are entered into between you and PRAXIS S-10, the operator of the AI Rebate Manager platform. If you do not agree to these terms, please do not use our services.

2. Description of Services

AI Rebate Manager provides independent HVAC contractors access to a Group Purchasing Organization (GPO) that aggregates purchase volume across its membership to unlock manufacturer rebates, volume discounts, and incentive programs. Specifically, we:

• Track your HVAC equipment purchase volume with participating manufacturers
• Submit rebate claims on your behalf to qualifying manufacturers and distributors
• Provide quarterly rebate reporting and payment coordination
• Facilitate enrollment with participating vendor partners

3. Eligibility

Our services are available to independent HVAC contractors operating in the United States. By submitting an enrollment form, you represent and warrant that:

• You are authorized to bind your business to these Terms
• The information you provide is accurate and complete
• You are at least 18 years of age

4. SMS Terms of Service

SMS communications are entirely optional. You will only receive SMS text messages from AI Rebate Manager / PRAXIS S-10 if you explicitly check the optional SMS consent checkbox on our enrollment form. Providing your phone number alone does not constitute consent to receive SMS messages. If you choose to opt in, the following terms apply:

Your consent to receive SMS messages is not a condition of membership or any purchase. You may continue to participate in the GPO program if you choose to opt out of SMS communications.

5. Rebates & Payments

Rebate amounts and eligibility are determined solely by participating manufacturers and distributors. AI Rebate Manager / PRAXIS S-10 makes no guarantees regarding specific rebate amounts, payment timelines, or continued availability of any rebate program. Manufacturer programs are subject to change at any time without notice.

6. Member Responsibilities

As a GPO member, you agree to:

• Provide accurate business and contact information
• Notify us of any changes to your business information
• Not misrepresent your purchase volume or business activities
• Comply with the terms of the Tiny GPO Participation Agreement

7. Intellectual Property

All content on this website — including text, graphics, logos, and software — is the property of PRAXIS S-10 and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, PRAXIS S-10 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or reliance on any information provided. Our total liability to you for any claim shall not exceed the total fees paid by you to us in the 12 months preceding the claim (which, given our free membership model, may be $0).

10. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Tennessee.

11. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.
